1. Agreement to Terms
Welcome to Riley. These Terms of Service ("Terms") constitute a legally binding agreement between you and Riley ("Company," "we," "us," or "our") governing your access to and use of the Riley mobile application and website (collectively, the "Service").
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
IMPORTANT: These Terms contain provisions that limit our liability and require you to resolve disputes through individual arbitration rather than class actions. Please read Sections 15 and 16 carefully.
2. Description of Service
Riley is a technology platform that enables carpooling by connecting drivers who have available seats in their vehicles with passengers traveling to similar destinations. The Service facilitates:
- Posting of carpool offers by drivers
- Discovery and booking of rides by passengers
- Communication between users
- Cost-sharing arrangements between drivers and passengers
- Rating and review systems for community trust
Riley is not a transportation company. We do not provide transportation services, employ drivers, or own vehicles. We are a technology platform that facilitates peer-to-peer carpooling arrangements. Drivers using Riley are private individuals sharing their journeys, not commercial transport providers.
3. Eligibility and Account Requirements
3.1 General Eligibility
To use Riley, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable law
- Not have been previously banned from using Riley
- Provide accurate and complete registration information
3.2 Additional Requirements for Drivers
To post carpool offers as a driver, you must also:
- Hold a valid driver's license appropriate for your vehicle class
- Be legally permitted to drive in Mauritius
- Have valid motor vehicle insurance that covers carpooling activities
- Own or have legal authorization to use the vehicle for carpooling
- Maintain your vehicle in safe, roadworthy condition
- Complete our driver verification process
- Comply with all applicable traffic laws and regulations
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
- Use a strong, unique password
- Not share your account with others
- Notify us immediately of any unauthorized access
- Keep your contact information current and accurate
4. User Conduct and Community Guidelines
4.1 General Conduct
All users must:
- Treat other users with respect and courtesy
- Provide accurate information in profiles, trip postings, and communications
- Honor confirmed bookings and commitments
- Communicate promptly regarding any changes to trip plans
- Comply with all applicable laws and regulations
4.2 Prohibited Activities
You must not:
- Use the Service for commercial transportation services
- Post false, misleading, or fraudulent information
- Harass, threaten, or discriminate against other users
- Engage in any illegal activities before, during, or after trips
- Drive under the influence of alcohol, drugs, or any impairing substances
- Transport illegal goods, contraband, or prohibited items
- Solicit users for services outside the Riley platform
- Create multiple accounts or impersonate others
- Manipulate ratings, reviews, or the matching system
- Attempt to circumvent our payment system
- Reverse engineer, hack, or interfere with the Service
- Use automated systems to access the Service without permission
- Collect or harvest user data without consent
4.3 Driver-Specific Obligations
Drivers must:
- Only post trips they genuinely intend to make
- Ensure their vehicle is clean, safe, and well-maintained
- Have sufficient fuel for the journey
- Arrive at pickup locations on time or communicate delays promptly
- Follow the agreed-upon route unless deviation is necessary for safety
- Not exceed the vehicle's legal passenger capacity
- Not request payment beyond the agreed cost-sharing amount
- Carry valid insurance and vehicle documentation at all times
4.4 Passenger-Specific Obligations
Passengers must:
- Be at the pickup location on time
- Only bring luggage that fits reasonably in the vehicle
- Wear seatbelts at all times during the trip
- Respect the driver's vehicle and property
- Not distract or interfere with the driver
- Pay the agreed cost-sharing amount promptly
- Not bring prohibited items into the vehicle
5. Bookings, Cancellations, and No-Shows
5.1 Booking Process
When a passenger books a seat on a posted trip and the driver confirms, this creates a binding agreement between the driver and passenger to share the journey and costs as specified. Riley facilitates this agreement but is not a party to it.
5.2 Cancellation Policy
We understand that plans can change. However, last-minute cancellations affect other users and the community. Our cancellation policy is as follows:
- More than 24 hours before departure: Free cancellation for both drivers and passengers
- 12-24 hours before departure: Cancellation may affect your reliability rating
- Less than 12 hours before departure: Cancellation will negatively impact your rating and may result in a cancellation fee
- No-show: Failure to appear without cancellation will result in significant rating penalties and may result in account suspension
5.3 Trip Modifications
Drivers may not materially modify trip details (route, time, price) after passengers have booked without passenger consent. Any material changes may entitle passengers to cancel without penalty.
6. Cost-Sharing and Payments
6.1 Nature of Payments
Payments on Riley are cost-sharing contributions, not fares for commercial transportation. The amount charged by drivers should reasonably reflect a fair share of the trip costs (fuel, tolls, vehicle wear) and must not include profit. Drivers are sharing their journey with passengers, not providing a transportation service for profit.
6.2 Payment Processing
Riley may facilitate payments between users through our platform or integrated payment providers. By using our payment features, you agree to:
- Provide accurate payment information
- Authorize us to process payments on your behalf
- Pay any applicable service fees
- Not dispute legitimate charges
6.3 Service Fees
Riley may charge service fees to maintain and improve the platform. These fees will be clearly disclosed before you confirm any transaction. We reserve the right to modify our fee structure with reasonable notice.
6.4 Refunds
Refunds may be available in cases of:
- Trip cancellation by the driver
- Significant deviation from the posted trip
- Technical errors in payment processing
- Verified fraud or misrepresentation
Refund requests must be submitted within 7 days of the scheduled trip. We will review refund requests on a case-by-case basis.
7. Ratings and Reviews
After completing a trip, users may rate and review each other. This system is essential for community trust and safety.
- Reviews must be honest, accurate, and based on actual trip experiences
- False, defamatory, or malicious reviews are prohibited
- We reserve the right to remove reviews that violate our guidelines
- Users must not offer incentives for positive reviews or threaten negative reviews
- Once submitted, reviews generally cannot be edited or deleted
8. Safety and Emergencies
8.1 Safety Features
Riley provides various safety features including identity verification, ratings, and in-app communication. However, we cannot guarantee the behavior of any user. You should:
- Review driver/passenger profiles and ratings before booking
- Share trip details with trusted contacts
- Trust your instincts—if something feels wrong, don't proceed
- Meet at safe, public locations when possible
- Keep your phone charged and accessible during trips
8.2 Emergencies and Incidents
In case of emergency during a trip, call emergency services immediately. After ensuring safety, please report incidents to Riley through the app or by contacting riley@swenginegroup.com. We take all reports seriously and may suspend accounts pending investigation.
8.3 Insurance
Riley does not provide insurance coverage for trips. Drivers are responsible for maintaining appropriate vehicle insurance that covers carpooling activities. Passengers should consider their own travel insurance. Neither drivers nor passengers should rely on Riley for any insurance coverage.
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including all content, features, and functionality (including software, text, graphics, logos, and design), is owned by Riley and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute our content without permission
- Use our trademarks without written authorization
- Reverse engineer or attempt to extract our source code
- Create derivative works based on our Service
9.2 User Content
You retain ownership of content you submit to Riley (profiles, reviews, messages). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Service. You represent that you have the right to grant this license.
10. Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Riley, you consent to our data practices as described in the Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
To the fullest extent permitted by law, we disclaim all warranties, including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding the accuracy, reliability, or completeness of any information
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the conduct, identity, or intentions of any user
- Warranties regarding the safety, legality, or quality of any trip
Riley does not guarantee:
- That you will find suitable rides or passengers
- The accuracy of user-provided information
- The safety or reliability of any driver, passenger, or vehicle
- That trips will occur as planned
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RILEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or goodwill
- Any damages arising from your use of or inability to use the Service
- Any damages arising from the conduct of any user, whether online or offline
- Any personal injury, property damage, or other harm resulting from trips arranged through the Service
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (a) the amount you paid to Riley in the 12 months preceding the claim, or (b) MUR 5,000.
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Riley and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of any other person or entity
- Your conduct during any trip
- Any content you submit to the Service
- Any accident, injury, or damage occurring during a trip you participated in
14. Termination
14.1 Termination by You
You may terminate your account at any time through the app settings or by contacting support. Termination will not affect any obligations incurred before termination, including pending trips or payments.
14.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms
- We reasonably believe you pose a safety risk
- Your conduct harms other users or Riley
- You engage in fraudulent or illegal activity
- Required by law or regulatory authority
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at riley@swenginegroup.com and attempt to resolve the dispute informally for at least 30 days.
15.2 Arbitration Agreement
If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court. Arbitration shall be conducted in Port Louis, Mauritius, in accordance with the rules of the Mauritius International Arbitration Centre.
15.3 Class Action Waiver
YOU AND RILEY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
15.4 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Mauritius, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought in the courts of Mauritius.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Riley regarding the Service and supersede all prior agreements.
17.2 Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes through the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
17.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.4 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.5 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
17.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages.

By creating an account or using Riley, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
